Legal Agreement
Software license for estudiodetitulo.net and associated platforms
ARTICLE 1 — PARTIES AND DEFINITIONS
Section 1.1 — Software Owner
This agreement governs the use of the software, digital platforms, systems, web portals, applications, and any associated technology (hereinafter, the “Software”), which are the exclusive property of Collazo IT Technologies and operationally managed by JC Enterprises.
Section 1.2 — Licensee
Any natural or legal person who accesses, uses, interacts with, or contracts services through the Software shall be considered a “User” or “Licensee.”
Section 1.3 — Nature of the Agreement
This agreement constitutes a limited, non-exclusive, revocable, and non-transferable license to use the Software and does not, under any circumstances, represent a sale, assignment, or transfer of ownership of the Software.
ARTICLE 2 — GRANT OF LICENSE
Section 2.1 — Limited License
The user is granted a limited license to access and use the Software exclusively for purposes related to the services offered by Estudio de Título PR.
Section 2.2 — Usage Restrictions
The user may not:
Copy, reproduce, or duplicate the Software
Modify, adapt, or create derivative versions
Decompile, reverse engineer, or attempt to access the source code
Use the system for unauthorized commercial purposes
Resell, sublicense, or transfer access
Section 2.3 — Permitted Use
Use of the Software is strictly limited to:
Requesting services
Accessing reports
Managing your account
Interacting with authorized functionalities
ARTICLE 3 — INTELLECTUAL PROPERTY
Section 3.1 — Owner's Rights
All rights, titles, and interests in and to the Software, including its code, design, structure, functionalities, database, and content, belong exclusively to Collazo IT Technologies.
Section 3.2 — Legal Protection
The Software is protected by intellectual property laws, copyrights, and applicable regulations in Puerto Rico and the United States.
Section 3.3 — Prohibition of Misuse
Any unauthorized use may result in immediate termination of access and possible legal action.
ARTICLE 4 — ACCESS AND SECURITY
Section 4.1 — Credentials
The user is responsible for maintaining the confidentiality of their login credentials.
Section 4.2 — Account Use
All activity performed under the user's account will be considered authorized by the user.
Section 4.3 — Suspension of Access
The company may suspend or terminate access in the event of:
Misuse
Suspicious activity
Violation of terms
ARTICLE 5 — SOFTWARE AVAILABILITY
Section 5.1 — Access to the Service
Access to the Software is provided “as is” and “as available,” without any guarantee of uninterrupted operation.
Section 5.2 — Interruptions
The company shall not be liable for interruptions caused by:
Technical failures
Maintenance
Third-party issues
Events beyond reasonable control
ARTICLE 6 — LIMITATION OF LIABILITY
Section 6.1 — Use of the Software
The Software is a support tool for the provision of services, and therefore the user assumes the risk of its use.
Section 6.2 — Exclusion of Damages
Collazo IT Technologies and JC Enterprises shall not be liable for:
Data loss
Indirect damages
Service interruptions
Decisions made by the user
Section 6.3 — Economic Limitation
In any case, liability shall be limited to the amount paid for the related service.
ARTICLE 7 — DATA AND CONTENT
Section 7.1 — User Information
The user retains ownership of their data but grants the company permission to use it in accordance with the Privacy Policy.
Section 7.2 — Use of the System
The user may not use the Software for:
Illegal activities
Hacking attempts
Unauthorized access
ARTICLE 8 — TERMINATION OF LICENSE
Section 8.1 — Termination for Breach
The license may be terminated immediately if the user breaches this agreement.
Section 8.2 — Termination Effects
Upon termination of the license:
Access to the system is revoked.
The user loses the right to use the software.
The company may retain records for legal purposes.
ARTICLE 9 — MODIFICATIONS
Section 9.1 — Changes
Collazo IT Technologies may modify this agreement at any time.
Section 9.2 — Continuity
Continued use of the Software constitutes acceptance of the changes.
ARTICLE 10 — GOVERNING LAW AND JURISDICTION
Section 10.1 — Governing Law
This agreement shall be governed by the laws of Puerto Rico.
Section 10.2 — Courts
Any dispute arising from or relating to this agreement shall be resolved in the courts of Puerto Rico.
ARTICLE 11 — ACCEPTANCE
Section 11.1 — Consent
By accessing or using the Software, the user acknowledges that:
✔ They have read this agreement
✔ They understand it
✔ They accept it in its entirety
✔ They acknowledge that they do not acquire ownership of the Software
